Terms of Service.

Agreement and scope.

By creating an account, signing an order form, or using the XION platform, you agree to these Terms of Service and any additional terms referenced in your commercial agreement. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

Accounts, access, and customer responsibilities.

You are responsible for the actions taken under your accounts, for maintaining the confidentiality of credentials, and for ensuring that your users comply with applicable laws and these Terms. You must notify us promptly if you become aware of unauthorized access to your accounts or the XION platform.

Customer data and security.

You retain ownership of all data you send to the XION platform. We process customer data only to provide the services, to prevent or address technical and security issues, to comply with law, or as otherwise permitted in a written agreement. We implement security controls designed to protect customer data and will notify you of security incidents as required by law and our contracts.

Acceptable use.

You may not misuse the services, attempt to bypass security mechanisms, probe or scan systems without authorization, interfere with the normal operation of the platform, or use the services to store or transmit unlawful content. We may suspend or limit access to the services if your use poses a security risk, violates law, or breaches these Terms, while we work with you in good faith to resolve the issue.

Service levels, changes, and availability.

We may enhance or modify the services from time to time, provided that core functionality is not materially reduced during a committed subscription term. Where service level commitments apply, they will be described in a separate service level agreement or order form. We aim to provide high availability and to communicate planned maintenance in advance when feasible.

Fees, renewals, and taxes.

Fees, billing terms, and subscription periods are set out in the applicable order form or online plan selection. Unless otherwise specified, subscriptions renew automatically at the then-current rates. All fees are exclusive of applicable taxes, which are your responsibility. Late payments may result in interest or temporary suspension of service in line with your agreement.

Confidentiality and data protection terms.

Each party may receive confidential information from the other in connection with the services. The receiving party will protect this information using at least the same care it uses for its own confidential information and will use it only for purposes permitted under the agreement. Where required, we will enter into a separate data processing addendum describing how we process personal data on your behalf.

Intellectual property.

XION owns all right, title, and interest in and to the platform, underlying technology, and related materials, excluding customer data and third-party components. You may provide feedback about the services; we may use feedback without obligation, and it does not create any additional rights in the services.

Disclaimers and limitation of liability.

Except as expressly stated in a written agreement, the services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, each party's aggregate liability arising out of or relating to the services is limited to the amounts paid or payable for the services giving rise to the claim during the relevant period, subject to any higher limits explicitly agreed in writing.

Governing law, disputes, and changes.

The governing law and venue for disputes will be specified in your commercial agreement with XION. In the absence of a separate agreement, the laws of the jurisdiction where XION is organized apply, without regard to conflict-of-laws principles. We may update these Terms from time to time; material changes will be notified through the services or by email, and continued use after changes take effect constitutes acceptance of the updated Terms.
